MultiBrain Terms of Use

1. ACCEPTANCE OF TERMS

Welcome to MultiBrain. By accessing our website (https://www.multibrain.tech) or utilizing our programmatic advertising technology platform (the "Services"), you ("Client," "User," or "Partner") agree to be bound by these Terms of Use, our Privacy Policy, and our Cookie Policy. If you do not agree to these terms, you must immediately cease all use of our Services.

2. ELIGIBILITY AND ACCOUNT RESPONSIBILITY

You must be at least 18 years of age and have the legal authority to bind your entity to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. MultiBrain shall not be liable for any loss or damage arising from unauthorized use of your account.

3. PLATFORM USAGE AND ADVERTISING STANDARDS

All advertising creatives, data, and content provided by you for use on the MultiBrain Platform must:

Comply with all applicable local, state, and international laws (including but not limited to GDPR, CCPA/CPRA, and COPPA).

Adhere to industry standards set by the IAB and the Network Advertising Initiative (NAI).

Not contain malware, spyware, deceptive code, or any content that is defamatory, obscene, or promotes illegal activities. MultiBrain reserves the right to reject or remove any creative that violates these standards at our sole discretion.

4. ANTI-FRAUD AND INVALID TRAFFIC (IVT) POLICY

MultiBrain maintains a zero-tolerance policy toward advertising fraud.

Prohibited Conduct: Users shall not generate, or facilitate the generation of, any automated, deceptive, or fraudulent impressions, clicks, or conversions. This includes the use of bots, click farms, or any other non-human traffic.

Audit and Remedies: MultiBrain utilizes advanced detection tools to monitor traffic quality. If Invalid Traffic (IVT) is detected, MultiBrain reserves the right to:

Withhold or claw back payments related to such traffic.

Suspend or terminate your access to the Platform immediately without prior notice.

Offset any losses incurred by MultiBrain against your account balance.

5. DATA OWNERSHIP AND INTELLECTUAL PROPERTY

MultiBrain Property: MultiBrain retains all rights, title, and interest in and to the Platform, its bidding algorithms, user interfaces, and all aggregated, non-identifiable statistical data derived from the operation of the Services ("Platform Data").

Client License: You grant MultiBrain a limited, non-exclusive, worldwide license to host, transmit, and display your advertising creatives solely for the purpose of performing the Services.

Data Compliance: You represent that any data (such as audience segments or tracking pixels) provided to MultiBrain has been collected with the necessary user consents and in compliance with applicable privacy regulations.

6. SERVICE AVAILABILITY AND LIMITATION OF LIABILITY

"As Is" Basis: MultiBrain provides the Services on an "as is" and "as available" basis. We do not warrant that the Platform will be uninterrupted, error-free, or that specific campaign performance (e.g., win rates or ROI) will be achieved.

Limitation of Liability: To the maximum extent permitted by law, MultiBrain, its officers, and employees shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data. Our total aggregate liability for any claim shall not exceed the amount paid by you to MultiBrain in the three (3) months preceding the event giving rise to the claim.

7. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless MultiBrain from and against any third-party claims, liabilities, or expenses (including legal fees) arising from:

Your breach of these Terms.

Any allegation that your advertising content infringes the intellectual property or privacy rights of a third party.

8. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Clark County, Nevada.

9. MODIFICATIONS

MultiBrain reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
